These terms cover the agorá conversations service: the public catalog, the harnessed runtime, the subscription, and the one-shot commissions. They are written to be read in full once. Headings double as anchors so you can link to a clause directly.

§ 1

Who operates this service

agorá conversations is operated by Diego Marono as a sole proprietorship registered in the European Union. The service is the catalog at this domain, the harnessed runtime that backs every provisioned MCP URL, and the one-shot personalization and bespoke commissions described elsewhere on the site.

There is no parent company, no investor stack, and no acquisition pending. If that changes, this clause is what changes first, and the reasons sit underneath it.

§ 2

What you are paying for

On Pro, you are paying for the right to provision MCP URLs that connect catalog workflows into your client's MCP-capable assistant. You are not paying for software, for AI access, or for hosting capacity that you can resell.

On Personalization and Bespoke, you are paying for one workflow's authoring time — either tuning an existing catalog workflow to one client's voice and required fields, or authoring a new workflow against a written specification. The deliverable is the YAML, the harness configuration, and the provisioned URL.

What you are not paying for is exclusivity. The catalog is curated for everyone; tuning a workflow for one client does not remove it from the public catalog or stop other subscribers from using their own provisioned URLs against the same base workflow.

§ 3

Subscription, billing, cancellation

Pro is billed monthly at $19 or annually at $190. Annual billing is one charge, not pro-rated; the same price for ten months is the math. Personalization is $99 one-shot; Bespoke is $349 one-shot. Both are charged after a fixed-fee confirmation lands in your inbox, never before.

Cancellation stops the URLs at the end of the current billing period. We do not pro-rate refunds for partial months after the first fourteen days. Within the first fourteen days of your first Pro charge, a refund request to support@agora.* is honored without a call or an exit interview.

Re-subscribing within thirty days of cancellation restores both the previous URLs and the run history. After thirty days, history is deleted; new URLs can be re-provisioned against the same workflows.

§ 4

Personalization and bespoke commissions

A personalization commission tunes one existing catalog workflow to one client's voice, escalation logic, and required fields. The deliverable is a private fork of the YAML, a provisioned MCP URL scoped to the tuned workflow, and a 90-day support window for adjustments to the tune.

A bespoke commission authors a new workflow against a written specification. The deliverable is the YAML, the harness configuration, and the provisioned URL — delivered privately rather than added to the public catalog. We commit to delivery within ten business days of the spec being signed.

Either commission is refundable in full before authoring begins. After the spec is signed, refunds are not available; revisions inside the support window are.

§ 5

Acceptable use

Provisioned URLs may only be used to handle conversations that fit the workflow's declared scope. Attempting to invoke other intents through the same URL is rejected by the harness and recorded as a scope.violation event.

URLs may not be sold, sublicensed, or redistributed. Sharing a URL across multiple clients is not permitted under a single Pro subscription; it is what practice-scale terms exist for.

We reserve the right to suspend a URL — and the subscription behind it — if the harness records a sustained pattern of abuse, scope violations, or attempts to circumvent the determinism contract. Suspension is followed by an email explaining the pattern, not by silence.

§ 6

Warranty and liability

The catalog and the harness are provided as-is. We make specific warranties about the determinism contract — see /docs/determinism-contract — and stand behind them. We do not warrant that the catalog will be available without interruption or that any given workflow is fit for any given client's regulatory or commercial requirements.

Liability is limited to the amount you paid in the twelve months preceding the claim. Indirect, consequential, and punitive damages are excluded to the extent applicable law permits. None of this overrides rights that consumer-protection law in your jurisdiction grants you.

§ 7

Changes to these terms

We update these terms when something changes. Changes are dated at the top of this document, and material changes are emailed to active subscribers at least fourteen days before they take effect. Continued use after the effective date is acceptance.

If a material change makes the terms unworkable for your practice, cancellation within the notice window is honored as a refund of the unused portion of the current billing period.

§ 8

Disputes and governing law

These terms are governed by the laws of Spain, where the operator is registered. Disputes arising from them are subject to the courts of Madrid unless mandatory consumer-protection law in your jurisdiction provides otherwise.

Before any dispute reaches a court, we ask one thing: an email to support@agora.* with the issue and what you'd like to see happen. The reply lands within two business days, and the great majority of disputes resolve there.
